Contracts

The Contracts practice is where legal strategy meets operations. Mendes drafts, reviews and negotiates agreements of every level of complexity, from routine commercial contracts to large-scale transactions with sophisticated risk allocation, guarantees, insurance and governance provisions. The firm speaks the same language as in-house legal teams and business decision-makers, calibrating wording, timelines and protective mechanisms to the contract's real risk rather than to an idealized design.

Experience includes large-scale engineering and construction contracts, consortium arrangements for major works, technology agreements, equipment leases, and ancillary corporate instruments such as memoranda of understanding, vesting agreements and equity purchase agreements.

The practice also covers contract audits, reassessment of progress measurements, defense in contract performance disputes and the drafting of clauses designed to prevent future litigation.
