Franchising

The franchise model balances two interests that do not always align: the standardization demanded by the brand and the economic autonomy of each unit's operator. Agreements, the franchise disclosure document, support obligations and territorial rules must be well designed for the relationship to withstand crises, expansions and changes in strategy.

Mendes advises franchisees and companies in the sector on the review and negotiation of franchise agreements, the corporate structuring of multi-unit operations, and labor and tax matters specific to the model. Experience includes managing critical situations at franchised units, such as casualty events affecting customers' property, where the legal response had to reconcile liability toward consumers, the relationship with the franchisor, insurance coverage and the resumption of operations.
